These Terms & Conditions (the “Terms”) govern:
your access to and use of the website located at arxfinance.io (the “Site”); and
your use of any current or future services provided by Arx Finance LLC, a Florida limited liability company (“Arx Finance LLC”, “we”, “our”, or “us”) in connection with its principal over-the-counter digital asset and fiat exchange activities (the “Services”),
in each case, except to the extent superseded by a written Master Service Agreement (as defined below) between you and Arx Finance LLC.
By accessing or using the Site or Services, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree, you must not use the Site or Services.
If you access or use the Site or Services on behalf of a company or other legal entity, you represent and warrant that you are authorized to bind such entity to these Terms, and “you” will refer to that entity.
1. Relationship to Master Service Agreement
The specific commercial, operational, and transaction-level terms governing your use of the Services (including any bespoke limits, pricing, schedules, and instructions) will be set out in a separate written agreement between you and Arx Finance LLC (the “Master Service Agreement”).
In the event of any conflict or inconsistency between these Terms and a Master Service Agreement:
the Master Service Agreement will govern; and
these Terms will apply to the extent they are not expressly overridden or inconsistent with the Master Service Agreement.
These Terms are intended to provide general information, baseline conditions of use, and compliance-related disclosures applicable to all users of the Site and Services.
2. About Arx Finance LLC and Nature of Services
Arx Finance LLC is a Florida limited liability company that operates as a principal-only OTC on/off-ramp, engaging in bilateral purchases and sales of:
U.S. dollars (via U.S. banking rails), and
permitted digital assets and stablecoins, generally focused on USD-linked stablecoins and other digital assets that, as of the time of trade, are not treated by Arx Finance LLC as securities or commodity derivatives, and are permissible under applicable law and regulatory guidance.
Key characteristics of Arx Finance LLC's model include:
Principal-only: Arx Finance LLC acts solely as a counterparty to each trade, using its own inventory and proprietary funds.
No custody: Arx Finance LLC does not provide custodial or wallet-hosting services. Counterparties are expected to maintain their own self-custodied wallets and bank accounts.
No third-party payouts: Arx Finance LLC sends and receives funds only to and from bank accounts and wallets owned and controlled by the Counterparty and approved by Arx Finance LLC. Arx Finance LLC does not make or process payments to third parties on your behalf.
The Services are delivered primarily through secure, verified messaging channels (e.g., business WhatsApp and, where applicable, other official channels listed on the Site), combined with electronic forms and e-signature tools for onboarding and documentation.
Arx Finance LLC may update the range of supported assets, networks, and transaction types from time to time in its sole discretion and in line with applicable law and internal risk policies.
3. Eligibility and Business Use
The Services are designed for business and professional users, not for mass-market consumer remittances or retail speculation.
To use the Services, you must:
be at least 18 years of age and have legal capacity to enter into binding contracts;
be acting either:
in your own name as an individual entrepreneur, freelancer, or digital nomad with legitimate business purposes, or
as an authorized representative of a legal entity (e.g., corporation, LLC, partnership);
have, or be able to maintain, a U.S. bank account in your name or in the name of your organization; and
meet Arx Finance LLC's onboarding, KYC/AML, sanctions, and risk criteria, as determined by Arx Finance LLC in its sole discretion.
By using the Services, you represent and warrant that you meet these eligibility requirements and that you will not use the Services for:
consumer remittance networks;
providing payment processing, remittance, or money transmission services to third parties; or
payroll, payout, or other services where Arx Finance LLC would effectively act as an intermediary on behalf of third parties.
4. Prohibited Jurisdictions, Persons, and Businesses
You may not use the Site or Services:
if you are located in, a resident of, or organized under the laws of a prohibited jurisdiction, or if you are otherwise subject to applicable sanctions; or
if you are a person or entity:
listed on, or owned or controlled (directly or indirectly) by a person on, any applicable sanctions list (including lists maintained by OFAC, the United Nations, or the European Union);
that has been previously rejected, blocked, or off-boarded by Arx Finance LLC for compliance reasons; or
that engages in activities or operates in sectors that Arx Finance LLC classifies as prohibited or intolerable risk.
Arx Finance LLC will publish and maintain a list of Prohibited Jurisdictions at:
https://arxfinance.io/jurisdictions and a description of Prohibited Businesses at: https://arxfinance.io/prohibited (collectively, the “Restrictions Pages”).
These lists may be updated from time to time without prior notice. You are responsible for reviewing the current Restrictions Pages before using the Services. By using the Services, you confirm that you do not fall within any category listed on the Restrictions Pages and that you will not use the Services for any prohibited purpose.
Arx Finance LLC may immediately suspend or terminate your access to the Services if Arx Finance LLC reasonably believes you are in breach of this Section or any other material provision of these Terms, without any obligation to provide detailed reasons.
5. No Investment, Legal, or Tax Advice
Arx Finance LLC's mission includes helping businesses understand and leverage blockchain technology and digital assets to improve the efficiency of cross-border payments and business operations. However:
Arx Finance LLC does not provide investment, legal, tax, accounting, or financial advice;
no information provided on the Site, via WhatsApp, or in any written or verbal communication from Arx Finance LLC should be construed as a recommendation to buy, sell, or hold any digital asset, security, or financial instrument; and
you are solely responsible for evaluating the risks of any transaction and for obtaining advice from your own qualified legal, tax, and financial advisers.
Arx Finance LLC does not offer:
deposit accounts;
interest-bearing or yield products;
staking, lending, or borrowing services; or
pooled investments, funds, or managed portfolios.
All transactions with Arx Finance LLC are bilateral principal transactions, executed at your direction and for your own account and risk.
6. Use of the Site and Official Communication Channels
The Site is provided for informational purposes and as a gateway to contact Arx Finance LLC and learn about the Services. The Site may include buttons or links to initiate contact via messaging applications (such as WhatsApp and, where applicable, other channels).
Arx Finance LLC will identify its official communication channels (phone numbers, messaging accounts, and email domains) on the Site. You agree that:
you will only rely on contact details and channels listed on the Site as current official channels;
Arx Finance LLC is not responsible for any losses arising from your interaction with impostor accounts, spoofed profiles, or channels not listed on the Site; and
you will promptly notify Arx Finance LLC if you suspect any fraudulent or unauthorized communication claiming to be from Arx Finance LLC.
You must not attempt to interfere with or compromise the security or proper functioning of the Site.
7. Onboarding, KYC/AML, and Information Sharing
Before Arx Finance LLC provides Services, you must complete Arx Finance LLC's onboarding and due diligence process. You agree to:
provide complete, accurate, and up-to-date information and documentation as reasonably requested by Arx Finance LLC for purposes including Counterparty identification, verification, risk assessment, sanctions screening, source-of-funds checks, and ongoing monitoring;
promptly notify Arx Finance LLC of any material changes to such information (e.g., change of address, ownership, business activity, bank accounts, or wallets); and
cooperate with any additional due diligence or enhanced due diligence that Arx Finance LLC may deem necessary.
Arx Finance LLC will use secure electronic forms, e-signature tools, and document collection methods to facilitate onboarding and documentation.
You expressly consent to Arx Finance LLC:
conducting sanctions screening, adverse media checks, and other KYC/AML/CFT assessments;
using blockchain analytics tools to evaluate the risk profile of your wallets and on-chain activity;
sharing your information with third-party service providers, financial partners, and competent authorities:
to verify your identity and eligibility,
to perform sanctions and risk checks,
to comply with applicable law and regulatory requirements (including BSA/AML, sanctions, and information-sharing obligations), and
to operate and improve the Services; and
retaining records of your information and communications for as long as reasonably necessary or required by law.
Your personal data will be processed in accordance with Arx Finance LLC's Privacy Policy, available at: https://arxfinance.io/privacy which is incorporated into these Terms by reference.
Arx Finance LLC may decline to onboard you, restrict your access to the Services, or terminate the relationship at any time where Arx Finance LLC determines that doing so is necessary or appropriate for risk, compliance, or legal reasons. Arx Finance LLC is under no obligation to disclose detailed reasons for such decisions.
8. Electronic Communications and Signatures
By using the Site or Services, you consent to receiving electronic communications from Arx Finance LLC, including via:
email,
messaging applications (such as WhatsApp or other official channels listed on the Site), and
electronic document and signature platforms.
You agree that:
electronic communications may include disclosures, notices, account information, agreements, receipts, and other legally required information;
Arx Finance LLC may require you to sign documents electronically, and such electronic signatures will have the same legal effect as handwritten signatures; and
you will maintain accurate and up-to-date contact information and regularly check your messages.
If you withdraw your consent to electronic communications or signatures, Arx Finance LLC may be unable to provide or continue providing the Services.
9. Transaction Requests, Quotes, and Execution
All trades with Arx Finance LLC are initiated via direct communication (e.g., WhatsApp or other official channels) between you and Arx Finance LLC's operations team.
Quotes and Acceptance. For each proposed transaction, Arx Finance LLC may provide you with a quote specifying, at minimum:
the trading pair (e.g., fiat vs. stablecoin),
the notional amount(s),
the direction (buy or sell), and
any applicable fees or spread, if disclosed separately.
Quotes are typically valid only for a limited time due to market volatility. Arx Finance LLC may withdraw or revise a quote at any time before a binding trade is formed.
A trade will be deemed binding only when:
Arx Finance LLC has sent you a specific quote;
you have clearly indicated your acceptance of that quote through the agreed communication channel; and
you have sent, or irrevocably initiated the sending of, the relevant funds (fiat or digital assets) to the designated Arx Finance LLC account or wallet, and Arx Finance LLC has confirmed receipt and acceptance.
Arx Finance LLC may decline to accept any requested transaction, or may require additional information or documentation, at its sole discretion.
10. Settlement; Bank Accounts and Wallets
10.1. Bank Accounts and Wallets in Your Name Only. You agree that all fiat and digital asset transfers in connection with the Services will be:
from and to bank accounts held in your own name (or that of your organization) and approved by Arx Finance LLC; and
from and to self-custodied digital asset wallets owned and controlled by you and approved (“whitelisted”) by Arx Finance LLC.
Arx Finance LLC does not support transfers:
to or from third-party bank accounts or wallets;
to or from wallets associated with mixers/tumblers, privacy-enhancing services, sanctioned or blacklisted addresses, or wallets displaying taint or linkages that Arx Finance LLC considers unacceptable; or
that appear to be designed to obfuscate the origin, ownership, or destination of funds, evade tax or regulatory obligations, or facilitate criminal activity.
Arx Finance LLC may require additional checks before approving any new wallet or bank account and may refuse to whitelist or use any wallet or account at its discretion.
10.2 Settlement Timing. Arx Finance LLC will use commercially reasonable efforts to settle transactions promptly (for example, often targeting completion within hours of acceptable receipt and confirmation). However, settlement times may be affected by:
bank processing times, cut-off hours, and holidays;
blockchain network congestion, delays, or outages;
additional compliance checks; and
other factors beyond Arx Finance LLC's reasonable control.
Arx Finance LLC does not guarantee any specific settlement time and will not be liable for delays caused by such factors.
11. Irreversibility, Instructions, and Errors
You acknowledge that:
digital asset transactions are generally irreversible once broadcast to a blockchain;
Arx Finance LLC will rely on the wallet addresses, network identifiers, bank details, and instructions you provide; and
you are solely responsible for ensuring that all such details are accurate and appropriate for the transaction.
Arx Finance LLC is not responsible for any loss arising from:
you providing an incorrect or incompatible wallet address, network, or bank account;
you using an unsupported asset, network, or protocol; or
your failure to follow Arx Finance LLC's written instructions or guidance.
If you believe an error has occurred, you must notify Arx Finance LLC immediately through an official channel. Arx Finance LLC may, but is not obligated to, attempt to assist in mitigating or recovering funds. Any such efforts are on a reasonable-efforts basis only and without any guarantee of success.
You agree not to initiate chargebacks or recalls on legitimate wires, ACH transfers, or other payments that you have authorized in connection with a completed transaction. If you do, you must indemnify and reimburse Arx Finance LLC for any related losses, fees, costs, or expenses.
12. Fees, Pricing, and Economic Model
Arx Finance LLC's primary revenue model is embedded in the spread or mark-up between the price at which Arx Finance LLC acquires or disposes of digital assets or fiat currency and the price quoted to you.
Arx Finance LLC may also charge explicit fees in certain circumstances (for example, for wires or special services). Arx Finance LLC will disclose applicable fees or spreads to you before you commit to a specific transaction, either in the quote or in the documentation governing your relationship (such as the Master Service Agreement).
Arx Finance LLC may also establish and modify, from time to time:
minimum and maximum transaction sizes; and
per-Counterparty or aggregate limits,
and will communicate any such parameters to you as part of the onboarding process or in connection with a given transaction.
13. Prohibited Uses and Crypto-Specific Restrictions
You agree not to use the Site or Services to:
violate any applicable law, regulation, or sanctions regime;
engage in, facilitate, or support money laundering, terrorist financing, tax evasion, fraud, or any other criminal or illegal activity;
interact with:
mixers, tumblers, or other obfuscation services;
privacy-enhancing coins or tools that Arx Finance LLC has classified as unacceptable;
wallets or counterparties that, based on blockchain analytics or other information, display taint or linkages above thresholds Arx Finance LLC considers acceptable; or
DeFi protocols, platforms, or arrangements that Arx Finance LLC classifies as excessively high risk or inconsistent with its principal-only model;
support unlicensed money services, remittance operations, or payment processing businesses; or
circumvent, attempt to circumvent, or assist others in circumventing Arx Finance LLC's controls, restrictions, or risk management measures.
The categories of Prohibited Businesses at https://arxfinance.io/prohibited are incorporated into these Terms and will be updated over time. If your activities or use case falls within, or becomes aligned with, those categories, Arx Finance LLC may immediately suspend or terminate your access to the Services and, where appropriate, report the activity to competent authorities.
14. Suspension and Termination
Arx Finance LLC may, at any time and with or without prior notice, suspend or terminate your access to the Site or Services, or refuse to process any transaction, if Arx Finance LLC reasonably believes that:
you have breached these Terms or any provision of a Master Service Agreement;
your use of the Services poses a legal, compliance, security, reputational, or other unacceptable risk to Arx Finance LLC; or
such action is required to comply with applicable law, a court order, or a request from a competent authority.
Upon termination:
Arx Finance LLC will, to the extent reasonably practicable and permitted by law, complete settlement of any transactions that have already been validly executed;
Arx Finance LLC may decline to enter into any new transactions with you; and
provisions of these Terms that, by their nature, should survive termination (including, without limitation, Sections relating to liability, indemnity, governing law, arbitration, and intellectual property) will continue in full force and effect.
15. Intellectual Property and Use of the Site
All content on the Site, including text, graphics, logos, designs, and trademarks (collectively, the “Content”), is owned by or licensed to Arx Finance LLC and is protected by applicable intellectual property laws.
You may:
view and download Content solely for your own informational and legitimate business purposes in connection with evaluating or using the Services.
You may not:
copy, reproduce, modify, distribute, display, or create derivative works from the Content;
use any Arx Finance LLC trademarks, logos, or branding without Arx Finance LLC's prior written consent; or
frame or mirror any part of the Site without Arx Finance LLC's express consent.
16. Third-Party Services and Links
The Site may contain links to third-party websites, content, or services, or may integrate with third-party tools (for example, document signing, form collection, or analytics tools).
Arx Finance LLC does not endorse, control, or operate such third-party sites or services and is not responsible for:
their content, policies, or practices; or
any losses or damages arising from your use of them.
Your use of third-party services is subject solely to the terms and policies of those third parties.
17. Privacy and Data Protection
Arx Finance LLC's handling of personal data collected through the Site and in connection with the Services is governed by its Privacy Policy, available at:
By using the Site or Services, you acknowledge that you have read and understood the Privacy Policy and consent to Arx Finance LLC processing your information as described therein.
Arx Finance LLC may record, retain, and review your communications with Arx Finance LLC (including messages over WhatsApp or other official channels and email) for compliance, audit, training, and evidentiary purposes, subject to applicable law and the Privacy Policy.
Arx Finance LLC focuses on transactional and operational communications and does not intend to use your contact information for general marketing communications without your consent, except as permitted by applicable law.
18. Disclaimers and Limitation of Liability
18.1 “As Is” and “As Available”. The Site and Services are provided on an “as is” and “as available” basis, without warranties of any kind, whether express, implied, or statutory, including implied warranties of merchantability, fitness for a particular purpose, non-infringement, and any warranties arising from course of dealing or usage of trade.
Arx Finance LLC does not warrant that:
the Site or Services will be uninterrupted, error-free, or free of viruses or other harmful components;
any quote, price, or information will always be available or accurate in real time; or
any specific outcome, result, or tax treatment will be achieved.
18.2 Allocation of Risk; Excluded Damages. To the fullest extent permitted by law, Arx Finance LLC will not be liable for any:
indirect, incidental, consequential, punitive, special, or exemplary damages;
loss of profits, revenue, business, goodwill, or opportunity; or
losses arising from factors outside Arx Finance LLC's reasonable control, including:
market price movements;
bank or payment system delays, errors, or failures;
blockchain network congestion, forks, or failures;
acts or omissions of third-party service providers or counterparties; or
events of force majeure (including natural disasters, war, cyberattacks, or regulatory changes).
18.3 Liability Cap. To the fullest extent permitted by law, Arx Finance LLC's aggregate liability to you for any claim or series of related claims arising out of or in connection with:
these Terms,
any Master Service Agreement, or
any use of the Site or Services,
shall be limited to the direct financial loss actually suffered by you as a direct and proximate result of Arx Finance LLC's breach or fault, and shall exclude all categories of damages described in Section 18.2. Under no circumstances shall Arx Finance LLC be liable for more than your direct transactional loss attributable solely to Arx Finance LLC's fault.
You agree that these limitations form an essential basis of the bargain between you and Arx Finance LLC.
19. Indemnification
You agree to indemnify, defend, and hold harmless Arx Finance LLC and its members, managers, officers, employees, and agents from and against any and all claims, demands, actions, damages, losses, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising out of or related to:
your breach of these Terms or any Master Service Agreement;
your violation of any applicable law, regulation, or sanctions regime (including AML/CFT and tax laws); or
any claim by a third party arising out of or related to your use of the Site or Services.
Arx Finance LLC may assume the exclusive defense and control of any matter subject to indemnification by you, in which case you will cooperate with Arx Finance LLC in asserting any available defenses.
20. Changes to these Terms and to the Services
Arx Finance LLC may update or modify these Terms from time to time. When changes are made, Arx Finance LLC will:
revise the “Last updated” date at the top of these Terms; and
where appropriate, notify you via the Site or electronic communication.
Your continued use of the Site or Services after any such update constitutes your acceptance of the revised Terms. If you do not agree to the changes, you must stop using the Site and Services.
Arx Finance LLC may also modify, suspend, or discontinue any aspect of the Services at any time, subject to any commitments expressly set out in a Master Service Agreement.
21. Governing Law; Arbitration; Class Action Waiver
21.1 Governing Law. These Terms, and any non-contractual obligations arising out of or in connection with them, shall be governed by and construed in accordance with the laws of the State of Florida, without giving effect to its conflict-of-laws rules.
21.2 Arbitration. Any dispute, claim, or controversy arising out of or relating to these Terms, any Master Service Agreement, or the Site or Services (including their formation, performance, or termination) shall be finally resolved by binding arbitration administered by a recognized arbitration provider (e.g., AAA or JAMS), by three (3) arbitrators, in Miami, Florida, and conducted in the English language.
The arbitrators shall have the authority to award any remedy that a court of competent jurisdiction could provide, consistent with these Terms and applicable law, except that they shall not have authority to conduct class or representative proceedings.
21.3 Class Action Waiver. You and Arx Finance LLC agree that:
any arbitration (or, if arbitration is not enforced, any litigation) will be conducted on an individual basis only; and
you will not participate in, and hereby waive any right to bring, any class, collective, or representative action against Arx Finance LLC, whether in arbitration or in court.
If this class action waiver is found unenforceable with respect to any particular claim, that claim must be brought in court, and not in arbitration.
22. Miscellaneous
Entire Agreement. These Terms, together with any Master Service Agreement and the Privacy Policy, constitute the entire agreement between you and Arx Finance LLC with respect to their subject matter and supersede any prior understandings or agreements (whether written or oral).
Severability. If any provision of these Terms is held invalid or unenforceable, the remaining provisions will remain in full force and effect.
No Waiver. A failure or delay by Arx Finance LLC to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.
Assignment. You may not assign or transfer your rights or obligations under these Terms without Arx Finance LLC's prior written consent. Arx Finance LLC may assign or transfer its rights and obligations under these Terms without your consent, including in connection with a merger, acquisition, or sale of assets.
Headings. Headings are for convenience only and do not affect the interpretation of these Terms.
